Yinquan Employees Donate for Earthquake-stricken Area in Sichuan

On May 12, 2008, the earthquake in Wenchuan county, Sichuan province shocked the nation. The 8.0 earthquake caused significant damage to the people in the area. When people in other parts of the country were doing their best to help, Yinquan’s employees organized a donation event. In the first hour, we raised 13,260 yuan which was given to the Jinan Red Cross. Although the amount donated is insignificant, it represents that our hearts go out to the victims in Wenchuan and our social responsibility as a company. We hope that with all the state-sponsored support, the rescue and recovery efforts will go well for the people in the earthquake-stricken area.

Shortly after the earthquake, CVDT’s CEO Mr. Li wrote the following poem for the employees at Yinquan:

CVDT Acquires Beijing Power & Unique Technologies Co., Ltd.

China VOIP and Digital Telecom, Inc. (OTC Bulletin Board: CVDT) completed the acquisition of Beijing Power & Unique Technologies Co., Ltd ("BPUT") in May 2008. CVDT now holds 80% of BPUT's equity shares.

In announcing the acquisition, Mr. Kunwu Li, CVDT's Chief Executive Officer and Chairman of the Board, told shareholders, "This acquisition helps CVDT expand its technology capability, enlarges its sales and distribution network, and adds an experienced management team. Most importantly, it will enhance CVDT's financial performance. The acquisition signals that the management is determined to grow the company organically and through acquisitions in order to achieve its goal of being listed on NASDAQ in the near future."

BPUT is a privately held software company in Beijing that specializes in enterprise application software research and development. It creates reliable, secure as well as high efficiency information technology platforms for enterprise clients. BPUT has an experienced management team. Its general manager, Mr. Shile Dong, has broad international management experience. Prior to BPUT, Mr. Dong worked in China Storage and Transport Group, Canada Perspective Technologies Co., Ltd., and Siemens China's Automation and Drivers Group. Mr. Dong holds a master's degree in economics from Peking University.

BPUT's Technology Director, Mr David Qi, was a co-founder of Techoni Technologies Australia, the second largest online mobile phone reseller. He was also a project manager of system architecture development in Microsoft Australia. Mr Qi graduated from La Trobe University, Australia with three bachelor's degrees in Artificial Intelligence, Public Relations and General Psychology.

BPUT will add not only technology, sales and distribution, and management to CVDT, but also contribute to its net earnings. BPUT's 2008 standalone revenue is estimated at approximately $6.5 million with $700,000 net profit.

CVDT's Newly Acquired Beijing PowerUnique Technologies Co., Ltd. Forms Alliance with VMware

China VoIP & Digital Telecom Inc., (OTC Bulletin Board: CVDT) announced on May 23, 2008 that its newly acquired subsidiary Beijing PowerUnique Technologies Co., Ltd. (''BPUT'') signed a cooperative agreement with VMware (NYSE: VMW) to become an official Technology Alliance Partner (TAP) of VMware.

VMware is the global leader in virtualization solutions from the desktop to the data center. Customers of all sizes rely on VMware to reduce capital and operating expenses, ensure business continuity, strengthen security and go green. Mr. Wang is currently serving as the Director and General Manager of Jinan Yiquan Technology Company (“Yinquan”), a wholly owned subsidiary of China VoIP and Digital Telecom Inc. As one of the founders of Yinquan, he is also one of the main designers of the company’s NP soft switch system and video monitor system.

Prior to joining Yinquan, Mr. Wang was the Deputy Manager of Jinan Kuaijie Science & Technology Development Co. for five years and the General Manager of Shandong Meigao Electronic Engineering Co., Ltd for five years. Mr. Wang also worked for Jinan Railway Bureau as an engineer and director of software department for ten years, where he developed and installed network systems and large communication projects for several well known Chinese power plants, such as Shandong Luneng Group, Shengli Oil Field, Qilu Petrochemical, Jigang Group and dozens of power plants around the country. Mr. Wang designed Jinan Railway Bureau’s financial management system independently. He is an expert in developing software, performing system integration, designing network communication, and overseeing project management.

Mr. Wang holds a bachelor degree in computer science from Shanghai Railway College. He was honored several times as “Advanced Worker” and “Excellent Party Member”. He has published 17 papers in corresponding periodicals, and a paper of his submitted to the annual meeting of China DEC Customer Association won first prize. Mr. Wang was awarded “Special Contribution Individual” of enterprise alliance in 2007 and was selected as the Deputy Chairman of communication alliance at the China International ICT (Information, Communication and Telecom) Innovation Cluster (CIIIC).
